By creating an account, using Struct, or accepting an order that references these terms, you agree to them. If you use Struct for an organization, you confirm that you can bind that organization.
1. The service
Struct provides software for creating, documenting, reviewing, sharing, and exporting engineering diagrams and linked specifications. Features vary by plan and may include cloud synchronization, realtime collaboration, review links, version history, identity controls, supplier lookups, and an AI-assisted agent.
Struct is a documentation and collaboration tool. It does not certify a design, replace professional engineering judgment, or guarantee compliance with safety, manufacturing, regulatory, or industry requirements.
2. Accounts and organizations
You must provide accurate account information, keep access credentials secure, and promptly notify us of suspected unauthorized access. Organization owners and administrators control membership, roles, project access, retention settings, and billing for their organization. You are responsible for activity performed through your account and for ensuring that your users follow these terms.
3. Customer content
You retain ownership of diagrams, specifications, files, comments, and other content you submit to Struct (“Customer Content”). You grant Struct a limited right to host, copy, transmit, render, and process Customer Content only as needed to provide, secure, support, and improve the service and to comply with law.
You represent that you have the rights needed to submit Customer Content and instruct Struct to process it. You are responsible for classifying your data, configuring access, maintaining appropriate independent records, and reviewing generated or exported work before relying on it.
4. Acceptable use
You may not use Struct to violate law or another person’s rights; introduce malware; bypass access, usage, or security controls; probe or disrupt the service; scrape or resell the service except under a written agreement; or submit content that you are not authorized to process. We may limit or suspend activity that creates a security, legal, or operational risk.
5. AI and external data
When you use agent features, the instructions and project context needed for your request may be processed by our AI service providers. Agent output can be incomplete or wrong and must be reviewed by a qualified person. Supplier catalog information, availability, pricing, and third-party links are point-in-time evidence from external providers and may change without notice.
6. Plans, billing, and taxes
Paid Team and Business plans are billed per organization seat at the price and interval shown at purchase. Annual plans are charged for the annual term. Seat changes, upgrades, downgrades, and cancellations are handled through the service and our payment processor and may be prorated. Enterprise terms are set by an order form.
Charges are in the currency shown at checkout and exclude applicable taxes unless stated otherwise. Except where law requires otherwise or an order form says differently, fees already paid are non-refundable. Cancellation stops renewal at the end of the current paid period; it does not erase Customer Content automatically.
7. Availability and changes
We work to keep Struct available and secure, but the service is provided without a guaranteed service level unless an order form states one. Maintenance, provider outages, previews, and third-party integrations may affect availability. We may change or discontinue features, and we will provide reasonable notice when a material change adversely affects an active paid plan.
8. Confidentiality
Each party will protect the other party’s non-public business, technical, and security information using reasonable care and use it only for the relationship. This duty does not cover information that is public through no breach, independently developed, already lawfully known, or lawfully received without restriction.
9. Suspension and termination
You may stop using Struct at any time and may cancel a paid subscription through the billing portal. We may suspend access for material breach, nonpayment, legal requirements, or an urgent security risk. When reasonably possible, we will give notice and an opportunity to cure. Following termination, organization owners should export needed Customer Content during any available access period.
10. Disclaimers and liability
To the maximum extent permitted by law, Struct is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Struct is not responsible for decisions made from unreviewed diagrams, agent output, supplier data, or third-party services.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenues, goodwill, or data. Struct’s aggregate liability arising from the service will not exceed the amount you paid for the service during the 12 months before the event giving rise to liability. These limits do not apply where the law does not permit them.
11. Governing terms
California law governs these terms without regard to conflict-of-law rules. Courts located in San Diego County, California have exclusive jurisdiction, unless applicable law requires another forum. These terms, an applicable order form, and referenced policies are the complete agreement for the service. If an order form conflicts with these terms, the order form controls for that purchase.
